01. Acceptance of Terms

By registering for, browsing, accessing, or transacting on the BotDigit platform (including all associated domains, web portals, mobile apps, and API microservices), you enter into a legally binding agreement and agree to comply with these Terms of Service, the Privacy Policy, and the Refund & Cancellation Policy.

These Terms apply to all users, including freelancers, independent contractors, clients, employers, agencies, buyers, and sellers. If you do not accept these terms in their entirety, you must not register or use BotDigit services.

02. Description of BotDigit

BotDigit provides an enterprise-grade digital work operating system and online freelancing marketplace offering:

• Verified freelancer profiles and portfolio showcases;
• Client job postings, proposal submission tools, and bidding systems;
• Milestone-backed smart contract escrow systems;
• Project management workspaces, AI-assisted matching, and collaboration tools;
• Digital software products and code template licensing; and
• Multi-currency global wallets supporting Card, Bank, UPI, and Stablecoin settlements.

03.Freelancer Role Activation & Strict Non-Refundable Policy

• Strictly Non-Refundable Once Provisioned: Because verification processing, automated checks, and platform quota allocations occur instantaneously upon payment confirmation, role activation fees are strictly non-refundable once the account role has been provisioned.
• Not Payment for Guaranteed Work: The activation fee is an access and vetting charge, NOT a payment for guaranteed contracts, client responses, interviews, or earnings.
• Active Annual Runway: Your activation grants uninterrupted access to submit proposals across the marketplace for the entire 365-day entitlement period.

04.Subscription Plans & Entitlement Stacking

Higher tier subscriptions (such as Pro or Agency plans) provide expanded proposal quotas, priority search visibility, and advanced analytics.

• Billing & Auto-Renewal: Subscriptions are billed on a recurring monthly or annual basis as disclosed at checkout. You may cancel renewal at any time via your account settings.
• Subscription Stacking Protection: When upgrading from an existing annual plan to a monthly tier, your remaining yearly days are safely paused and stored in platform metadata. Upon completion or cancellation of the monthly tier, your unused yearly duration is automatically restored.
• No Pro-Rata Cash Refunds: A plan conversion or cancellation does not create a cash-refund entitlement for already provisioned subscription periods.

05. No Guarantee of Marketplace Outcomes

BotDigit operates an open, competitive marketplace. Contracting outcomes depend exclusively on independent client requirements, market demand, proposal quality, pricing, and freelancer qualifications.

BotDigit explicitly does not guarantee:

• That a client will review, shortlist, or respond to any proposal;
• That any proposal will result in an interview, contract, or hire;
• Any minimum financial income, project volume, or hourly rate; or
• Specific turnaround timelines from independent third-party clients.

06.Genuine Marketplace Operations & Anti-Fraud

BotDigit is committed to honest, transparent marketplace operations. Users must not engage in artificial manipulation, including:

• Submitting fake, automated, or fabricated bids and proposals;
• Self-dealing or creating collusive client accounts to manipulate ratings;
• Fabricating reviews, testimonials, or work histories; or
• Misrepresenting test or staging environments as live commercial transactions.

07.User Responsibilities & Acceptable Use

Users must maintain account security and provide accurate personal information. Users are strictly prohibited from:

• Impersonating another person or creating accounts with falsified documents;
• Sharing accounts, transferring credentials, or selling verified badges;
• Exploiting platform vulnerabilities, reverse-engineering software, or conducting DoS attacks; or
• Distributing malware, phishing links, or unauthorized tracking software.

08.Zero Tolerance for Abuse, Threats & Extortion

The following conduct constitutes an immediate, incurable breach of these Terms:

• Making threats of physical violence, death, biological harm, or property damage against BotDigit employees, founders, contractors, or their family members;
• Attempting to extort refunds or financial concessions under threat of harassment, review-bombing, or malicious publication;
• Using hate speech, racial slurs, xenophobic abuse, or severe profanity against support personnel; or
• Doxxing or publishing private personal information of team members.

BotDigit permanently preserves all evidentiary logs, IP addresses, and communications of abusive users and reserves the right to report extortion and criminal intimidation to competent cybercrime and law enforcement authorities.

09.False Statements, Reputation & Defamation

Users retain full freedom to publish good-faith reviews and genuine opinions. However, users must not knowingly or maliciously publish fabricated factual allegations intended to cause unlawful commercial or reputational harm.

Prohibited conduct includes: manufacturing fake evidence or forged screenshots; coordinating fraudulent negative review campaigns; falsely alleging criminal theft when fees were paid under disclosed contractual terms; or impersonating regulators or platform representatives.

Where a user engages in unlawful defamation or intentional fabrication, BotDigit reserves all rights to seek legal remedies, civil damages, and injunctive relief under applicable laws, including the Indian Bharatiya Nyaya Sanhita (BNS) and Information Technology Act.

10.Account Suspension, Closure & Termination

BotDigit may suspend or permanently terminate access without prior notice for fraud, security threats, serious harassment, payment chargeback abuse, or material breach of these Terms.

Voluntary Account Closure: Users in good standing may request permanent account closure by contacting support. Upon closure, access to bidding, active proposals, and subscription benefits will immediately cease.

11.Escrow Protection & Milestone Rules

BotDigit provides milestone escrow protection for all client contracts. Funds locked in milestone escrow are disbursed to the freelancer only upon the client's explicit release approval or through formal dispute arbitration.

• 0% Buyer Fees: Clients pay zero platform commission on milestone funding.
• 10% Freelancer Fee: Freelancers pay a flat 10% marketplace commission upon successful milestone delivery.
• Binding Arbitration: In unresolvable milestone disputes, BotDigit's arbitration determination regarding escrow disbursement is final and binding.

12. Refund Policy Overview

Please review our full Refund & Cancellation Policy. Key principles include:

• Digital Products: Eligible for refund only prior to file download;
• Unspent Wallet Balances: Eligible for withdrawal via standard payout rails;
• Cancelled Milestones: 100% of unreleased escrow funds return to the client wallet;
• Role Activations & Subscriptions: Non-refundable once provisioned/commenced.

13.Data Retention & Privacy Protocol

Users may submit requests for account deletion under applicable privacy laws (such as the Digital Personal Data Protection Act).

In accordance with statutory mandates, BotDigit retains necessary financial ledgers, tax invoices, fraud audit trails, dispute records, and threat logs for statutory limitation periods required by taxation, anti-money laundering (PMLA), and cyber law. Non-essential personal data is permanently purged upon account closure.

14.Security & Vulnerability Disclosure

Security researchers and users must report potential vulnerabilities responsibly via BotDigit Security. Attempting unauthorized data exfiltration, privacy violations, or system disruption is strictly prohibited.

15.Payment Gateways, Cryptocurrency & Anti-Exchange Safeguards

Payment processing is facilitated through regulated gateways (Stripe for global USD/Cards, Razorpay for domestic INR/UPI) and Web3 stablecoins (USDT/USDC).

Cryptocurrency blockchain transfers are decentralized and irreversible. Users are solely responsible for verifying destination wallet addresses and network chains.

16. Limitation of Liability

To the maximum extent permitted by applicable law, BotDigit and its operators shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of business opportunities, anticipated profits, or data loss arising from marketplace participation.

17.Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any legal dispute, claim, or controversy arising out of or related to these Terms or the use of BotDigit services that cannot be resolved through internal support mediation shall be subject to the exclusive jurisdiction of the competent courts in Mandi, Himachal Pradesh, India.
